1. Acceptance of Terms

By accessing or using MLAutomation.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Acceptable Use Policy, and all applicable laws and regulations. If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and MLAutomation.ai ("we," "us," or "our").

2. Description of Service

MLAutomation.ai provides AI-powered business automation tools, including but not limited to:

• Amazon seller tools (keyword campaigns, listing creation, prompt builders, UPC management, label creation)
• Etsy seller tools (AI mockup generation, frame mapping, image preparation, wall art design)
• Business automation tools (invoice generation)
• Healthcare tools

Our tools utilize artificial intelligence, including third-party AI services, to process your inputs and generate outputs. The Service is provided on an "as is" and "as available" basis.

3. Account Registration and Security

• You must create an account to access our tools. You must provide accurate and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account at security@mlautomation.ai.
• We reserve the right to suspend or terminate accounts that violate these Terms or our Acceptable Use Policy.
• You must be at least 18 years of age to create an account and use the Service.

4. Data Storage, Consent, and User Content

4.1 Consent to Data Storage

By creating an account and using the Service, you expressly consent to the collection, storage, processing, and transmission of your data — including but not limited to account information, invoices, blog posts, article plans, SEO analyses, uploaded files, AI-generated content, and any other data you provide — in our databases and those of our third-party service providers. This data is stored to provide, maintain, and improve the Service.

4.2 Data Retention

• We retain your data for as long as your account is active or as needed to provide the Service.
• Upon account termination, we may retain your data for a reasonable period for legal, regulatory, or legitimate business purposes, after which it may be permanently deleted.
• We are not obligated to maintain, export, or return any of your data after account termination.

4.3 No Liability for Data Loss

You are solely responsible for maintaining independent backups of any data you store on the platform. We strongly recommend downloading and backing up your important data regularly. The Service is not intended as a primary data storage solution.

4.4 Data Processing by Third Parties

• Your data may be processed by third-party services (including AI providers such as OpenAI, cloud hosting providers, and analytics services) as necessary to provide the Service.
• By using the Service, you consent to such processing and acknowledge that third-party services have their own terms and privacy policies.
• We take reasonable measures to protect your data but cannot guarantee absolute security of data transmitted to or stored by third-party providers.

5. Subscriptions, Payments, and Access

• Access to certain tools and sections may require a paid subscription or one-time purchase.
• Pricing, billing cycles, and available plans are as displayed at the time of purchase.
• We reserve the right to change pricing with 30 days' notice. Existing subscriptions will be honored through the current billing period.
• All fees are non-refundable unless otherwise stated or required by applicable law.
• We may offer free trials at our discretion. We reserve the right to modify or discontinue free trials at any time.
• We may grant or revoke tool access at our sole discretion, including for promotional, testing, or administrative purposes.

6. User Content and Intellectual Property

6.1 Your Content

• You retain ownership of all content you upload to or create using the Service ("User Content"), including product images, keywords, business data, and other inputs.
• By uploading content, you grant us a limited, non-exclusive, worldwide license to process, store, and transmit your content solely for the purpose of providing the Service to you.
• You represent and warrant that you have all necessary rights to upload and use your content, and that it does not infringe on the intellectual property rights of any third party.

6.2 AI-Generated Outputs

• Outputs generated by our AI tools (mockups, product listings, recommendations, etc.) are provided for your use, subject to these Terms.
• You are solely responsible for reviewing, verifying, and ensuring the accuracy, legality, and appropriateness of all AI-generated content before any commercial or public use.
• AI-generated content may inadvertently resemble existing copyrighted material, trademarks, or other protected works. You assume all risk and liability for the use of AI-generated outputs.
• We make no representations or warranties regarding the originality, accuracy, or fitness for purpose of AI-generated content.
• We do not claim ownership of AI-generated outputs created from your inputs.

6.3 Our Intellectual Property

The Service, including its design, code, algorithms, branding, logos, and documentation, is the intellectual property of MLAutomation.ai and is protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

8. Marketplace Compliance

You are solely responsible for ensuring that any content generated using our tools complies with the terms of service, policies, and guidelines of third-party marketplaces (including Amazon, Etsy, eBay, and others). We are not responsible for any account suspensions, listing removals, penalties, or other actions taken by marketplace operators resulting from your use of our generated content.

9. Prohibited Uses

You agree not to use the Service to:

• Upload content that infringes on intellectual property rights of others.
• Generate content that is illegal, defamatory, obscene, or harmful.
• Misrepresent AI-generated content as human-created where disclosure is required by law or platform policy.
• Attempt to reverse-engineer, extract, or replicate our AI models, algorithms, or proprietary systems.
• Use the Service for any fraudulent, deceptive, or unlawful purpose.
• Interfere with or disrupt the Service or its infrastructure.
• Scrape, data-mine, or systematically extract data from the Service.
• Share, resell, or sublicense your account access to third parties.

10. Limitation of Liability

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free.
• AI-generated outputs will be accurate, complete, or suitable for any purpose.
• Defects will be corrected.
• The Service will meet your specific requirements or expectations.

12. Indemnification

You agree to indemnify, defend, and hold harmless MLAutomation.ai and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service.
• Your use of AI-generated content in any commercial or public context.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property rights.
• Any content you upload to the Service.

13. Termination

• You may terminate your account at any time by contacting us.
• We may suspend or terminate your account at any time, with or without cause, with or without notice.
• Upon termination, your right to use the Service ceases immediately. We may delete your account data after termination, subject to legal retention requirements.
• Sections of these Terms that by their nature should survive termination will survive, including Limitation of Liability, Disclaimer of Warranties, Indemnification, and Governing Law.

14. Modifications to Service and Terms

• We reserve the right to modify, suspend, or discontinue any part of the Service at any time without liability.
• We may update these Terms from time to time. Material changes will be communicated via the Service or email. Continued use after changes constitutes acceptance.

15. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law provisions.
• Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation.
• If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
• You agree to waive any right to participate in a class-action lawsuit or class-wide arbitration.
• Notwithstanding the above, either party may seek injunctive relief in a court of competent jurisdiction for intellectual property disputes.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Disclaimer, and Acceptable Use Policy, constitute the entire agreement between you and MLAutomation.ai regarding the Service.
